I think I confused myself. It should have read "You won't get diluted IF you participate in the offering"

If you don't participate in the offering, you don't get the cheap shares and are thus diluted.

You won't get diluted unless you don't participate in the offering (which is why the offering is backstopped by the underwriter). It's a confusing way to do it, but it's best for shareholders. I don't think a lot of people understand this.
