Definitely highlights Public Companies doing all they can to make it through this economic maelstrom... can't fault them for trying to remain viable, but certainly should be considered when doing DD on a potential trade.
RAS is interesting-- just signed on w/ Yorkville and although they haven't yet tapped the SEDA -- the shares are all set for resale thru an already Effective Shelf Registration:
Item 1.01 Entry into a Material Definitive Agreement.
On January 13, 2010, RAIT Financial Trust ("RAIT") entered into a Standby Equity Distribution Agreement (the "SEDA") with YA Global Master SPV Ltd. ("YA Global"), which is managed by Yorkville Advisors, LLC, whereby YA Global agreed to purchase up to $50.0 million (the "Commitment Amount") worth of newly issued RAIT common shares of beneficial interest ("Common Shares") upon notices given by RAIT, subject to the terms and conditions of the SEDA. The SEDA terminates automatically on the earlier of January 13, 2012 or the date YA Global has purchased $50.0 million worth of Common Shares under the SEDA. The number of Common Shares issued or issuable pursuant to the SEDA, in the aggregate, cannot exceed 12,500,000 Common Shares. Also they just did an unrelated offering for $22m. Maybe they have no intention of ever getting money from Yorkville.
